Then [14:33] I'll incorporate those into formal easements, and then those will have to [14:36] be approved by uh basically a vote of the board at MBSD that'll be attached to [14:42] it. But they've been very MVSC has been very clear. We're not going to share any [14:46] any of the expense of this or prepare any of this stuff. You guys get it done, [14:50] send it to us, and we'll approve it is basically what their representations [14:53] have been to us. But they're not going out of pocket for anything. So once [14:56] Chris has that information as to where exactly the line's going to be, I can [15:00] prepare the easement and then they'll approve it by resolution for MVSD. [15:09] » Any more questions on that? Item number four, clean energy future [15:14] Trumbo LLC sanitary sewer in Northtown Ohio EPA PTI. I'm assuming probably no [15:20] updates. >> Yeah, I mean there's no updates. We have [15:22] a scheduling order. Um hearing is not until next May. So it's we're basically [15:29] with the appeal right now on that. So >> Okay. Any questions from Matt on that? [15:34] » Uh rules and regulations governing water use and service. Uh item number six, Nile's bulk [15:51] water agreement. I don't have any updates on that. The last time I talked [15:54] to Niles about anything was just consenting to the 24in line and they [15:58] gave their consent um which didn't require an amendment of the agreement. [16:02] So, I mean, if there's if you guys want me to continue to push that issue about [16:09] getting clear language with Niles, I mean, problem is this. We have we [16:13] already have a contract that's been approved by our council and their [16:16] council. Every time I reach out to them, there's no motivation from the law [16:21] director to really advance this at all because they don't think that council [16:24] will approve an amendment or change to the bulk agreement. So there there's not [16:30] much more I can do uh other than just say here here's the changes that we want [16:34] but I've already revised the language in the agreement and sent it to them and I [16:37] followed up with them and I just you know [16:40] » I don't understand [clears throat] why their council if they're interpreting it [16:43] for the largest portions of water we buy at a cheaper rate [16:50] if if we go into this new line with their beliefs that it's you you know, [16:57] MBSD rate plus 10% or whatever. They're selling it to us cheaper. So, [17:05] I don't want to be negative, but we could argue, well, no, we thought we [17:07] were going to get it for a lot less. >> I mean, I' I've even pointed out to them [17:11] that not only is their interpretation wrong, but they would we would have a [17:15] huge credit under their interpretation. And I just I don't know if anyone's even [17:19] really like I don't even know if they're really looking into this that much or if [17:22] it just goes in one ear, not the other. >> Yeah. And that that's my uncertainty on [17:26] it is like as we build the sign and prepare to build the sign that should be [17:31] set in stone. We should know >> exactly where we're at. [17:34] » Yeah. Cuz you know, I hate to say this, but right down the road is the city of [17:38] War. What would they sell us water for? We don't want them to want to open that [17:43] agreement after the fact and then say, "Well, we want to increase that water [17:47] rate." We know MBSD might be increasing that rate. I I'll push back and I'll [17:57] but I I will push back and I'll say, you know, given this 24inch redundant line, [18:00] we need to make sure we get the language cleared up in the agreement. But at the [18:04] end of the day, if they just keep ignoring me, the only thing the only [18:08] real legal remedy would be to file an action in court for a declaratory [18:12] judgment to have the court interpret the contract for us. And I mean, that'd be a [18:15] lawsuit. Basically, it's it's where you have two people that don't agree on an [18:19] interpretation of a contract say, "Judge, we need you to decide what this [18:23] contract means." But if they keep ignoring me, that's that's the only [18:26] legal remedy we have. >> Yeah. And I can't, [18:29] » you know, force council to do on Nile city council to do anything or force the [18:33] law director to present it to, you know, the city. [21:45] So, I've circulated you guys this master [21:49] funding agreement and I actually I spoke to their uh attorney today uh as [21:54] recently as today. There there's two main issues. Um, [22:00] so under this master funding agreement, it's for the it's for the water line [22:04] that they're going to fund as well as traffic control lights um that they're [22:10] going to fund. The main issue is this 200,000 gall per [22:15] day. They're telling me, "Well, if you guys can only commit to 200,000 gallons [22:20] per day, that's fine, but we don't want there to be an exclusivity provision [22:24] where we exclusively have to buy from the village because if we have other [22:28] tenants here on this in this facility that have more water usage needs that we [22:33] can't provide to them under this contract, we need to be able to go to [22:36] another source or remove the exclusivity provision [22:40] and we don't we don't put a cap in there on how much you guys are going to [22:44] provide, which nobody wants to do because we don't know what their future [22:46] water needs are. We can't overcommit to something. So, what we were proposing [22:51] when I was talking to her and I talked to the mayor about this a little bit, we [22:54] were thinking maybe some middle of the road language where we will get we will [23:00] provide exclusively up to 200,000 gallons per day. In the event that they [23:05] need more and we refuse to provide it with provide them with additional water, [23:10] then the exclusivity provision is removed for [23:14] any excess amount above the 200,000. However, in the event that down the road [23:19] we're able to provide them more than that 200,000, if there's a change in [23:23] course, change in decision, then we have the right basically the [23:28] first option to to sell them the water to sort of, you know, [23:33] » regardless even if they were buying off of Warren, it still has to go through a [23:39] » right. Yeah. And and I've already explained to them there's there's no [23:42] contractually there's no right. I mean, the city of Warren and the village would [23:45] have to agree. correct >> by you know the legislative authority [23:48] would have to approve another contract and everybody's on the same page with [23:52] that at least the city of Warren and Lordstown are based on the document [23:55] trail and I've explained that to them and I don't think that they were aware [23:58] of that until a couple of months ago because their lawyers are reaching out [24:01] to me saying is this true can you give me yeah here's a letter from the city of [24:04] Warren acknowledging that the agreement is terminated here's the contract [24:08] showing it terminated when GM ceased operations any water supplies on an [24:12] informal basis that's not you know there's no legal support for so they [24:16] understand that. Um but yeah, their concern is committing [24:22] to ex, you know, agreeing that we're the exclusive provider and at the same time [24:26] agreeing to a cap. They're worried that they could hamstring themselves. I mean, [24:30] they have another tenant looking at the facility and they don't even really know [24:33] much about that tenant when I talk to them, let alone what their water needs [24:36] are or anything else. So, um, >> with that being said, do they understand [24:42] that Warren supplied General Motors water prior to Lordstown Energy C [24:48] Center's construction and then providing 2 and a half million gallons a day to [24:53] Lordtown Energy Center. I don't know the capacity of the Warren line, but General [24:59] Motors left LAC come in. That line is what feeds Lordtown Energy Center. The [25:04] longer they delay the construction of the line around the plant, the longer [25:08] they may not have the water they need for that future tenant. I just don't [25:13] want them to be like unclear. LEC pulls a triple or quadruple the amount of [25:20] water that General Motors ever did at its maximum. [25:23] » Yeah. >> So, they may not have the ability to get [25:28] much more water regardless. >> Yeah. Warren may not have the capacity [25:32] either. And that is exactly why they acknowledge that the General Motors [25:36] contract and their commitment to that site ended with when General Motors [25:42] left. >> Yeah. [25:43] » So I don't I just want to be forthright with Fox Con what whoever's over there, [25:51] you know, this has went on for months and if they need that water soon they [25:56] held it up. I mean it's we're talking about what we can provide. D can move [26:01] water different directions, but >> yeah, I see they're ready to go there [26:04] because they got all the pipes on the ground over there. All their water lines [26:09] are all sitting there staged that they're uh they're redoing the fire loop [26:13] over there. >> Yeah. Is that what they want? [26:15] » I believe so. But the other concern is that just all of these data center rumors [27:17] that we've been hearing and we've been contacted by a company called DSG Group [27:21] says we're hiring employees for the Foxcon facility to build a data center. [27:25] Um there was an article in the business journal about a modular data center [27:29] going in there last week. So there's just everybody's telling us it's not a [27:33] data center uh or everyone telling us it is a data center except for Foxcon and [27:38] SoftBank. And I talked to them again today and I said listen I said I I told [27:42] them about all the different rumors you know everything that we were hearing [27:47] they once again reiterated this is not [clears throat] [27:50] a full-scale data center this is a proof of concept you know showroom to [27:55] manufacture data center components and I said you're not putting a full-scale [27:59] data center they said no we are not we we are sorry that this is you know [28:02] getting so out of control with the rumors um but I it's at the point where [28:09] I talked to the mayor said somebody from Soft Bank because we've only been [28:11] talking to Foxcon. Soft Bank ultimately [clears throat] funds the owner of the [28:15] property and SoftBank and Foxcon is one partner/tenant [28:19] and um I said somebody from SoftBank needs to come here and talk to council [28:24] as a whole and talk to the public before anybody makes a decision on the master [28:28] funding agreement. And and I think that's kind of the bigger break that [28:31] we're hitting right now because we we can't keep going off of well the [28:35] engineer or the mayor or the solicitor talked to this one person and this is [28:38] what they said. I mean I think council needs to hear as a whole. Um and so is [28:44] the public so they can ask questions and make a decision if if they really want [28:47] to move forward with the agreement. So um that's that's the bigger issue. [28:52] Getting this, you know, this exclusivity provision and everything reworked is the [28:57] other issue. um you know but will that help if we have a conversation with him [29:04] or no because you're done lawyers? >> I mean it it can't hurt but I from the [29:09] lawyer's perspective they don't want to say all right we'll agree to 200,000 [29:13] gallons per day and you guys are exclusive provider because now they [29:17] won't be able because now if they have a tenant that that they have a ten that [29:20] wants more I I get it. They just want to be able to say, "I just don't want to [29:25] create a back door down the road that >> Warren could run." [29:30] » Yeah. Without anybody saying it's okay. >> I guess that would be my fear. [29:35] » It would have to be based upon our refusal to provide them anything more [29:39] than 200,000. And then there would still have to be approval and everything to [29:43] run the to run the water line, but it would it would have to be because we're [29:46] telling them we're not going to provide you guys with any with 200 thou more [29:50] than 200,000 gallons per day. Okay. Um, the other concern they had is they [29:56] said, "Well, what if what if you guys just start increasing the water rates?" [30:00] And I explained, I said, "No." I said, "The water rates are set by our rules [30:02] and regulations, but the BPA approves it across the board. They're not we don't [30:06] charge, you know, higher rates based on the type of business." I said, "Now, [30:09] there are water service agreements, which are an option, which would be, you [30:13] know, a lower rate depending on volume, but there's no requirement right now [30:16] that we enter into that with them." But they had concerns that we would just [30:19] unilaterally jack up their rates too for some reason. [30:22] » We have one rate throughout the village residential. [30:25] We did have a decreasing tier, but no matter where the source is, whether it's [30:30] Niles Water or Warren Water, the customer's rate is the same. We pay the [30:36] the difference, you know, >> and I I explain the rate's not going to [30:40] be different for you just because of the type of business. said the only way it [30:44] would be different is if we had some type of specific agreement with you [30:46] guys, which would be subsequent to this master funding agreement. But so I'm [30:51] trying to work on language and ultimately I mean you guys are going to [30:54] have to decide what you want to recommend for council and council's [30:56] going to have to approve it. if you're okay with this 200,000 cap and giving it [31:01] as exclusivity and only in the event that we refuse to provide them with any [31:05] more water um can they go look for other sources and then if we subsequently [31:10] decide we are going to provide you with more water that they would have to you [31:13] know discontinue service from the city of Warren but as of right now that's the [31:18] language that we're looking at >> I think that would be fine long as they [31:23] don't get locked >> they should you can't really stop them [31:26] from doing business and we don't want to say, "Well, you got to shut off because [31:31] we can't give you the water." Do we know? And here here's the breakdown. It says here [38:11] that they think that the service water agreement rate for us should be 440. [38:15] Now, we have a 49% adder in our contract, right? [38:20] » We had a 49% adder when we entered into the contract. Um, the contract states [38:27] that if Warren increases their rate that our adder or I don't think they call it [38:34] an adder in this contract will also be increased by the same number. Um, I [38:39] spoke directly to uh Ted Harvey and I showed him how to calculate that rate. [38:44] um he understood it and [38:49] accepted that. Um as far as the credit, I I told you the contract states that [38:56] they they qualify, in my opinion, they qualify for that rate once they reach [39:04] full commercial operation, but they failed to create a contact contract or [39:10] permit to complete the permit. they didn't come [39:14] in. Then when they did come in, they didn't come in with the deposit. So when [39:18] as soon as they started the permit process, [39:25] we got a final uh a meter reading um which Warren didn't allow us access to [39:30] the day. It took one day more and then but still before we received the deposit [39:36] which should have been submitted with the permit application, [39:39] we transferred that account before we had the deposit. Um I feel that we build [39:44] it accordingly to the contract and they want to dispute it. It says in there [39:49] that they have to comply with the rules and regulations [39:53] and permit application with the deposit is in the rules and regulations. [39:57] » Yeah. >> Yeah. But the bag service where the [47:23] customers can come in and purchase the bags here and just put it out as needed [47:28] will remain at $25 for 10 bags and that is effective July 1. So some [47:36] people have already been build for the that period. Um but there's three [47:40] different billing periods in our community.
