Uh first, we have uh [1:39] Councilman Tuk uh to introduce us to a [1:42] great youth in our community. Councilman [1:44] Tuk. [1:45] >> Yes. Thank you, Mayor. Good evening, [1:47] everyone. Good evening, Spanish Fork. [1:48] So, uh, whenever we get the opportunity [1:51] to recognize, um, folks doing good [1:54] things in our town, we love to do that. [1:56] And we have a really special situation [1:58] where we wanted to recognize someone [2:00] this evening. So, we have a Maple [2:02] Mountain High School uh, student named [2:05] Palmer Brandt. He's with us tonight with [2:06] his family here in the back. And I'm [2:07] going to say a couple things and then [2:09] we'll um, we'll kind of go from there. [2:11] But I just wanted to say this student is [2:14] um is amazing and his accomplishments [2:16] and especially when it comes to to uh [2:19] orchestra band. And so I'd like to read [2:22] a couple highlights that I've learned [2:24] about him. Uh so much attention was [2:26] brought to us about him and and what [2:28] he's done, how amazing he is that um we [2:31] wanted to share that with the community. [2:32] So here are a couple highlights here. He [2:34] was selected for uh the prestigious [2:35] honor band of America, earned first [2:37] chair uh baritone saxophone in the Utah [2:40] Allstate wind symphony and a spot in the [2:42] Utah Allstate Jazz Band. Uh and if I get [2:45] these wrong, mom, please, you know, [2:47] correct me. Uh also he composed and [2:49] premiered an original tenor saxophone [2:51] concierto with the Utah Valley Youth [2:54] Symphony Orchestra and uh or organized [2:57] and taught a jazz clinic for local [2:59] junior high students. uh had artwork [3:01] selected for the Utah All State Art Show [3:03] and all the while maintained nearly a [3:05] 4.0 GPA of 3.9. Those are just a couple [3:08] of the amazing accomplishments that that [3:09] Palmer has had. So, uh as recognition, [3:13] we have this uh we have this plaque here [3:16] and I'll just read it quickly and then [3:17] we'll we'll get a picture and some [3:19] things. But just so we all can hear what [3:21] it says because this is incredible. So [3:23] this says special recognition [3:25] um proudly presented to Palmer Brandt uh [3:28] Maple Mountain High School for his [3:30] exceptional musical achievements [3:31] including selection to the 2026 honor [3:34] band of America, first chair of baritone [3:35] saxophone and the all state wind [3:37] symphony and baritone saxophone in the [3:39] all-state jazz band. A dedicated student [3:41] and mentor, he has led a clinic of [3:43] fellow musicians and stands out as an [3:45] outstanding representative of our [3:47] community. And that's is signed by our [3:49] mayor, Mayor Mendenhal. And so, uh, I [3:52] say let's give him a little round of [3:53] applause if we could. Uh we have another recognition uh [7:47] tonight as well from uh the other high [7:50] school in town from Spanish Fork uh high [7:53] school and the boys baseball team. I [7:55] think I see coach right there in the [7:56] back. Um, this is this is getting to be [8:00] a a regular thing here uh year after [8:04] year and it's it's it's a highly [8:06] irregular thing to to be able to win the [8:09] state championship. But we'd like to to [8:11] have uh have coach come up and and uh [8:14] tell us a little bit about the about the [8:17] team and and about what they've uh [8:19] accomplished here. Um it's uh it's quite [8:22] the thing to to have uh this going on [8:26] and uh and do it again. [8:28] >> Yeah. Well, thanks for having us. Um [8:30] yeah, the season was a little bit [8:32] different than last year. Luckily, we [8:34] were able to get to the same point as [8:35] the state champions, but um so last year [8:38] we came in as a very young, unproven [8:41] team. And this year, after winning it [8:43] last year, we came in with all the [8:44] expectations of returning basically our [8:47] whole starting team. and we were able to [8:48] go come out as the preseason favorite [8:50] and carry that all the way all the way [8:52] through the season and end up winning [8:53] the state championship again this year. [8:55] So, it was an awesome awesome ride and [8:57] an awesome season with the B group of [8:59] great kids. [9:00] >> I think that's a point that uh I've [9:02] heard talked about quite a bit that the [9:04] tale of two years the year before I [9:07] think your final game you won just put [9:09] you over 500 for the season. [9:11] >> Yep. One game over 500. That's what we [9:12] were joking. No better way to get over [9:14] 500 to win the win the championship. So, [9:17] >> and now this year it was uh you had the [9:19] target on your back from the beginning, [9:21] right? Yeah. Were you going to [9:22] >> Yeah, it was kind of a totally different [9:24] uh state tournament with all the [9:25] expectations coming in and just the kind [9:28] of the I think I speak for the group [9:29] here just the kind of the stress it [9:31] carried carrying the one seed [9:32] throughout. But last year was just all [9:34] emotions riding on the the hive, the the [9:37] roll we were on and then this year we [9:39] come in with all the expectations [9:40] getting every team's best shot. So, [9:42] yeah, it was kind of a a tale of two [9:44] seasons like you said. Coach Thorp, you [9:47] played uh you were a Dawn in what year? [9:49] >> In 2009. [9:51] >> And that's a lot uh sooner than coach [9:54] Dart was a dawn, right? [laughter] [9:56] >> Quite a bit. Um grandpa. [10:00] >> Okay. [10:01] >> Yeah. One of our coaches always jokes [10:03] that he's he's the adult in the room, so [10:05] [laughter] the adult. [10:06] >> He was the adult. [10:08] >> Coach Dardis. [10:09] >> Yeah. [10:11] >> Scary. [10:13] [laughter] [10:15] So maybe Councilman Rod Dart was the [10:17] great grandpa of the of the of the [10:19] school. [10:20] >> That's that's one of the great things [10:21] about being a part of Spanish Fork [10:22] Baseball is just the community support [10:24] we get. So we we thank all the community [10:26] for showing up. We we pack UVU every [10:28] time we do that. So that's that's what [10:30] means a lot just playing being a part of [10:32] Spanish Fork Baseball is just the [10:33] awesome community that comes with it. [10:35] >> Tell us about obviously the the news [10:37] coverage of it the the day and the [10:39] couple days after. Uh it was pretty hot [10:41] and hot hot and heavy on on recognizing [10:43] you guys. So we're grateful to let that [10:45] dust settle and then you guys come in [10:46] here and and get recognized here. But uh [10:50] what what what's it like playing, you [10:52] know, I guess what what we can call a an [10:55] in city rivalry. I mean, you and you and [10:58] the the Maple Mountain uh uh Eagles are at the the top, it seems like quite [11:04] a bit now, but obviously those kids [11:07] probably know quite a bit about each [11:08] other and know each other and probably [11:10] played together in in years past. [11:11] >> For sure. Yeah. A lot of our guys play [11:13] together throughout all the summer, so [11:15] there's a there's a friendly rivalry [11:16] there. We we joked with Coach Thomas [11:19] over at Maple Mountain that of course of [11:20] course all roads were going to lead to [11:22] us playing in the state championship. It [11:24] was funny. Some people were talking [11:25] about maybe the state tournament doesn't [11:26] run through Spanish Fork, but then it [11:28] ended up both both schools from Spanish [11:29] Fork being there. [laughter] So, it was kind of a a good ending to the [11:34] season. [11:34] >> Yeah. Yeah. That's cool. [11:36] >> If I may, I'm going to put you maybe a [11:38] little bit on the spot, coach, but I I [11:40] understand that in some of the postgame [11:42] conversations that you had with some of [11:43] the coaches of some of the teams that [11:45] you played that there was a new school [11:47] played really well and they had some [11:49] really high praise for you in terms of [11:51] what it meant for them to play like you [11:52] and and some of their aspirations. Yeah. [11:54] So, what are you comfortable sharing? [11:55] The head coach at Westfield just came up [11:57] and had nothing but great things and [11:59] that like we have nothing but respect [12:01] for that program. We got a big lead [12:03] multiple times and just couldn't put [12:04] them away. They were just a tough [12:05] resilient group of kids. But yeah, their head coach as we were going [12:09] through the line, he just said what an honor it is to play Spanish Fork [12:12] baseball and just just that's where we [12:15] want to be as a program. So, it's just [12:17] super high praise. That's the best thing [12:18] another coach or another program could [12:20] say about you is how much they want. [12:21] They they look up to us as a program and [12:23] wanted just that they respected how we [12:25] went about our business. And so it was [12:28] really awesome for him to say that [12:29] through in in that moment. [12:30] >> Thank you. [12:31] >> I got to be honest when we heard that [12:33] and people kept saying, "Well, we're [12:35] playing Westfield. We're playing [12:36] Westfield again." Are we sure it's [12:37] Westfield? Not West Lake, not West, not [12:40] like it up to like where is [12:42] >> we had to pull up a map, see where they [12:44] were located. [laughter] But yeah, [12:45] nothing but respect for those guys. They [12:46] were an awesome team. [12:48] >> Yeah. Yeah. Um [12:56] long tradition of success whether it's [13:00] academic [13:02] sports or musician. I mean it's to be [13:05] here in amongst all of the success that [13:08] we've had as a community. Um even if it [13:11] happens to be Eagle Mountain or Maple [13:13] Mountain. Um, no, there it is is cool to [13:17] have that type of competitiveness and [13:20] success by both schools in our community [13:22] and I appreciate it. The the tell of two [13:25] seasons I had I went through a similar [13:26] thing in 1988 we won. Um, maybe we [13:30] shouldn't have the next year we should [13:32] for sure should have. 89 should have [13:34] been the year and we lost. We took like [13:37] third. Um, but [13:40] what I love about the program is that it [13:44] creates good young people that are [13:47] members of our community, [13:49] >> right? And you don't have to win the [13:51] state championship to do it. You just [13:53] have to be part of the team and be um a [13:55] good member of the team, right, to build [13:58] that success. I certainly wouldn't be [13:59] sitting here if I was not a member of [14:01] the baseball team and we didn't win. Um, [14:03] so it's I appreciate your effort, all of [14:06] you kids. kids. It's It's I'm a grandpa [14:09] now. I can say that stuff. I feel like [14:11] Rod Dart up here. [laughter] [14:14] But it's to be a member of that that [14:16] unit and coming to compete every day um [14:19] and putting yourself out there is is [14:21] pretty cool. How do you how do you keep kids [14:42] motivated and and and looking looking [14:45] towards a long path of a game of [14:47] failure? [14:47] >> Yeah, luckily luckily for us, we get to [14:50] coach the greatest group of kids around. [14:51] Um, I think there's for us, it's not a [14:54] ton of motivation just because they're [14:55] so self motivated and work so hard at [14:58] the at the game of baseball. So, it [14:59] makes makes our job easy as far as that. [15:01] I mean, I could draw out of a hat and [15:03] pick nine guys and we'd be very [15:04] successful because of the work that [15:06] those guys put in. So, yeah, all all the [15:08] credit goes out to those kids and the [15:10] assistant coaches that put in countless [15:12] hours of basically free labor, but I [15:14] know how much they [clears throat] love [15:15] it. So, they they love being there and [15:17] being with the kids. So, just a [15:19] testament to how tough, resilient, [15:21] hardworking our kids are. And it's it's [15:23] [clears throat] amazing the way that you [15:25] just presented that though because you [15:26] watch the state tournament and you watch [15:28] every game when you guys would come from [15:29] behind and hit the walk-off. It the [15:32] team's composure during those moments [15:34] were was incredible because it was like [15:35] oh we're never out of this. We got this. [15:37] Like I don't was it I don't remember [15:38] that what game it was. It was sent going [15:40] to the championship and I don't know if [15:41] it was was it was it against um [15:43] >> Westfield? [15:44] >> Yeah, Westfield. That first pitch that line driving I think I sent the [15:48] video to mayor. I'm like there was no [15:49] doubt it was happening right. It was it [15:51] was just such a cool experience and it's [15:53] great for us as a community to be a part [15:55] of it. So, thank you for letting us be a [15:57] part of your guys' moment. And, um, my youngest daughter [28:33] actually competed in the the pre-teen [28:35] competition. and and I've never had a [28:36] daughter do that and kind of didn't know [28:38] it was for us but it clearly was and so [28:40] we prepared and did it and it was a fun [28:42] experience to see it on this other side [28:44] of competing and she had a wonderful [28:46] experience and so um anyway great [28:49] outcomes though for for so many of like [28:51] I said of our young women in the [28:53] community uh in addition to those [28:55] pageantss um I just wanted to say kudos [28:58] to parks and recreation I know Bronco [28:59] Menal's here uh and Dell as well and and [29:02] Nick for the city grand opening of the [29:04] outdoor portion on Memorial Day. It was [29:06] fun to go stop in. Um and uh my oldest [29:10] daughter actually is a lifeguard and so [29:12] I took a picture with her and she didn't [29:13] want to get a picture of me and she was [29:15] lifeguarding trying to work. So, just know there's a lot [33:31] of cool things happening in the city uh [33:34] at all different parts of town that [33:35] you'll start to see signage of and and [33:37] everything else of great companies uh [33:39] landing in Spanish Fork and and that's [33:41] always happening, but also residential [33:43] construction that happens on our [33:44] streets. I guess here's my public [33:46] service announcement and and maybe the [33:48] chief could say say this better than I [33:50] could, but we're always worried about [33:52] the winter and and when snow plows come [33:54] and everything, but summer's a really [33:55] active time. So just remind your kids. [33:58] Uh we we say it every year when the when [34:00] the river is supposed to rise, but we [34:02] never had the river rising this year and [34:03] so it wasn't that dangerous as far as a [34:05] river, but it's always a little gets a [34:08] little bit heightened when our streets [34:10] crews are out doing their work and and [34:12] construction's going on. So please just [34:14] sit down at dinner and remind your [34:16] family and and especially little kids to be looking out and and let's all of [34:21] us uh look out as well as we're going [34:23] through our communities. it might be a [34:25] little bit tighter on those streets with [34:27] grass being dropped off or fencing or or [34:30] homes being built. So, let's take an [34:33] extra minute and uh and keep each other [34:34] safe uh by going a little bit slower and [34:37] being a little bit more attentive to uh [34:39] to who's on the roads in the summer. [35:00] There was a a resident that came in with [35:02] some concerns about a trail if you [35:04] remember from that property along the [35:06] railroad on the eastish side of Highway [35:10] 6. We've been doing some research u back [35:13] into the uh annals of time. This is back [35:16] in 2008. We we been able to find some [35:19] agreements on that. um things aren't [35:22] perhaps as exactly as she outlined, but [35:24] it's been really helpful. Dale and and [35:26] his team are working to identify a [35:28] couple things that we can do perhaps in [35:30] the interim. Um [35:32] no land was dedicated, but there was a [35:35] lot of things that happened with that. [35:36] Actually, more of it was focused on the [35:38] front side of their property uh in terms [35:41] of getting the road built and getting [35:42] some connection to utilities back in '08 [35:45] when when that part of town was [35:47] beginning to develop. and all of that [35:50] was done. Uh there wasn't any agreement [35:52] on a fence, but um we're looking at the [35:55] possibility of putting up a fence now [35:57] and what that costs and and then the [36:00] possibility of putting the trail in. The [36:02] downside there is the trail hasn't had [36:04] any connection further to the to the [36:06] northish [36:08] to the north and west. Um and so that [36:12] that's the reason why the trail hasn't [36:14] continued on. But it's been really good [36:16] for us to dig into it because it's [36:17] really old, right? This is back in 2008. [36:20] So, uh, a little bit more I think that [36:22] we still need to research on that, but [36:24] we're we're looking into it and and, uh, [36:26] the parks crews will give us some some [36:29] ideas and some estimates here in the [36:31] next couple of weeks. [36:33] >> The idea for that trail, that section of [36:35] trails to continue north and [36:36] [clears throat] clear over to what used [36:38] to be Councilman Argyle's [36:40] >> home, right? Yeah. [36:42] >> Yeah. Uh, and the challenge that that we [36:44] I guess we ran into is um you quickly [36:49] run into railroad rideway. [36:51] >> And so you can't put the trail on the [36:54] railroad right away unless you just put [36:56] it and you know don't tell anybody. [36:58] That's not how we roll, right? And so [37:00] you can't do that. So you you have the [37:03] trail dead end and so maybe you run it [37:05] to some sidewalk across the street. uh [37:07] you want to eventually get it to the [37:08] trail that is either uh on the other [37:11] side of Center Street on that same side [37:12] of the railroad tracks or on the west [37:15] side of Center Street that goes down on [37:17] to Fort North. Both of those are great [37:19] locations, but we just don't have a good [37:21] path to connect them. So, the project [37:22] kind of fizzled out because of that uh [37:25] way back when. We do have the we do have [37:27] the the easement to do it. So, that's great. But, of course, there was [37:31] no fence ever put in. they they can put [37:34] fence up and that certainly is something [37:35] that they they can do. But like I said, [37:38] we'll work with them. I think if we can [37:39] put something up that perhaps will stand [37:42] the test of time and maybe not be that [37:45] expensive, that that might be the best [37:47] next step. And then when we do the when [37:50] we can do the trail meaningfully, then I [37:52] think that may be the right time. But [37:54] like I said, we we'll get a couple of [37:55] ideas and then [37:56] >> perfect share those with you. [37:59] >> Thank you. One of those has to do [42:48] with directional signs. And Wheeler, [42:50] this property wants to put up [42:52] directional signs, um, multiple [42:54] directional signs on their property. So, [42:56] you can see they have a big property. [42:59] It's kind of hard to tell from here. [43:00] It's 11 acres. Um, and there's lots of [43:03] different places and different people [43:04] who are coming into this property. And [43:06] so they kind of need to know where [43:08] they're supposed to go. Um our our [43:11] regulations currently limit the size of [43:13] those signs to um 3 ft tall or 6 ft of [43:17] copy, six square feet of copy. They want [43:20] slightly bigger signs. And so they've [43:21] asked for a te text amendment that is [43:24] proposed right here. It's about as [43:25] simple as you can get. If it's a site [43:28] that's more than 10 acres, then they can [43:30] have a slightly larger sign up to four [43:32] feet tall or 16 ft of copy. Um [52:48] tonight we have a presentation of the [52:51] LBA parameters resolution which is the [52:53] precursor to going uh to issuing a bond. [52:57] Uh this bond would be eventually uh for [53:01] the construction of the financing of and [53:03] the construction of a fire station 61. [53:06] That project is actually already started [53:08] and uh possibly also for the [53:10] construction of a public works shop. I [53:13] say possibly because that public works [53:15] shop has not yet been designed all the [53:16] way and it has not yet been decided by [53:18] you that we're going to build it. But um [53:21] we've decided that the best tool for us [53:24] to finance these structures is an LBA [53:28] bond and it is best to be agile. [53:33] Um, and so doing some of this leg work [53:36] now will enable us to watch markets and [53:39] make sure that if there's a moment in [53:41] time, say between now and uh when when [53:46] we would for sure have to bond, which [53:48] would be spring of 2027, [53:50] if there's a time where interest rates [53:52] are better, uh we'll be able to act [53:54] quickly and take advantage of those [53:56] interest rates. Uh we've spoken about [53:58] this a couple of times in previous [54:00] meetings where we've t talked about the [54:02] construction of station 61. [54:05] We would bond for $15 million for the [54:08] construction of station uh 61 and [54:12] anticipate that it will have a rate [54:14] somewhere in the 4% range. Uh right now [54:17] we anticipate four to four and a [54:18] quarter, but we'd sure love like three [54:20] and a half, right Jonathan? [54:21] >> Yes, we would. Um, our best loan rate [54:24] that we have to date, uh, is in the [54:27] ones, and we'd sure love that as well, [54:29] but I don't think we're going to see [54:30] that, uh, perhaps ever again. Uh, but [54:34] right now, we're planning that this [54:35] would be somewhere in the 4% range. Um, [54:38] again, $15 million for station 61. We [54:41] want that to be a 10-year repayment. Uh, [54:44] and then the and those numbers are are [54:47] known. You gave the green light on that [54:49] project a couple of months ago. the GMP [54:52] was issued and and we know that we'll [54:54] need about $15 million in that bond. [54:58] The public workshop is about six or [55:00] eight months behind that in terms of its [55:01] timeline and process. And so we are [55:04] still going through the design phase, [55:05] but we're we have great estimates along [55:07] the way and and we estimate that that [55:09] bond will need to be um about no more [55:13] than $45 million. [55:15] So, the parameters resolution that you [55:18] have before you is an all-encompassing [55:20] parameter. It says we're not going to [55:22] bond for anything more than. And this [55:25] parameters resolution says we're not [55:26] going to bond for more than $83 million. [55:30] Now, we're not going to go and bond for [55:31] 83 because we can, but it just it does [55:34] give us the ability to bond for a little [55:36] bit more in case we said we're going to [55:37] go bond for 58 and then we were wrong by [55:40] $3 million and we can't go and get those [55:43] extra $3 million. So we tell the [55:46] financial uh folks this is what we think [55:49] we need $60 million for those two [55:51] projects and they recommend for us what [55:55] that parameters resolution [55:57] high extent should be uh and also the [56:00] interest rate. And so today we'll tell [56:03] you that uh we think the most the public [56:05] workshop project will cost would be a [56:07] bond of 45 million. So 45 + 15 is 60 [56:10] million. So, in case anybody wonders why [56:13] the parameters resolution says up to 83, [56:15] it's that that comfort level that that [56:18] our financial advisors suggest that we [56:20] always have. How did I do with that? Was [56:22] that terrible or was that okay? All [56:25] right, with that, I'm actually going to [56:27] let either Jonathan or Garrett walk [56:30] through any of the issues or details [56:31] about this. And please, if you have any [56:34] questions about uh the ins and outs of [56:35] these, please um please ask them. Mayor, [56:40] there is something that you need to do [56:41] in with that statement resolution. The purpose of said [57:37] bond is to provide funds to a finance [57:40] the cost of construction of a fire [57:42] station and public works building and [57:44] all related improvements, the quote [57:47] project. B refund certain outstanding [57:50] bonds of the authority. And C fund any [57:52] required debt service reserve fund. and [57:55] D pay costs associated with the issuance [57:58] of the bonds. The estimated amount of [58:00] the bond is $83 million. [58:03] How do I do? [58:07] >> Yeah, it's fine. It's okay to clap. [58:09] Okay. Uh uh Jonathan, thank you for [58:13] being here. Thanks for being our [58:14] financial advisor uh in Spanish Fork and [58:17] taking care of us. Um this uh uh this [58:21] part that I was going to maybe read to [58:25] before you come up uh is in uh section B [58:28] of our new business of the LBA. It says [58:30] the city council and local building [58:32] authority are considering possibility of [58:34] issuing lease revenue bonds to [58:36] construction construct the new station [58:39] 61 building and a possible public [58:42] workshops. Construction on station 61 [58:44] has already started. the public works [58:46] shops has not. This resolution will [58:48] allow the city to issue bonds to [58:51] construct both buildings if and only [58:53] after the city council authorizes the [58:55] construction of the public works shop. A [58:58] future decision. Our financial adviserss [59:00] advise us to undergo these approvals now [59:02] to ensure quick and responsive future [59:04] actions if or when both of the projects [59:07] are authorized. This parameters [59:09] resolution outlines the highest and most [59:11] limits that the bond amounts and rates [59:13] could be. In actuality, the bond totals [59:15] and the rates will be less than these. [59:19] Good. [59:24] » Thank you, Mr. President. Chairman of [59:27] the [laughter] local building authority [59:29] board and trustees. [59:31] The uh [59:34] we do think it's in the city's best [59:35] interest to consolidate bond issues as [59:37] opposed to doing two separate possible [59:39] bond issues. a small one for the fire [59:42] station and a larger one for the public [59:43] works. If we can simplify and economize [59:46] by doing it all in one process, we're [59:49] saving money in the process. So that's [59:52] why we recommended this. Uh in addition, [59:56] in that statement that the mayor read, [59:59] we discussed refunding bonds. That's [1:00:02] municipal bond language for refinance. [1:00:05] the city has outstanding uh series 2022 [1:00:08] transaction that is refinancable because [1:00:12] the prepayment terms are such that that [1:00:15] we can do that. We're not at a point in [1:00:18] our current environment, financial [1:00:20] environment and market environment where [1:00:21] we think that's um ideal. Meaning we [1:00:25] could refinance, we could save some [1:00:27] money. It translates to about $15,000 [1:00:30] per year for the next say 18 years. But [1:00:37] we don't think it's we don't think it's [1:00:39] as advant ad advantageous now to do that [1:00:42] as perhaps some point in the future. [1:00:44] Meaning this the savings could be more [1:00:47] and to give away the prepayment [1:00:49] flexibility to capture 15,000 a year [1:00:52] versus 50,000 a year doesn't quite make [1:00:55] sense. But we wanted to include that in [1:00:58] the resolution and allow ourselves that [1:01:00] flexibility. So part of the 83 million [1:01:03] is also not just new projects but also [1:01:06] possibility of refinancing the 2022 [1:01:08] bonds. I'll also add that because we're [1:01:11] starting multiple projects and they're [1:01:13] phased at different times, we have in [1:01:16] the resolution a reimbursement clause [1:01:18] that says that we can start spending [1:01:20] money on the fire station, [1:01:23] but if we issue bonds later and we want [1:01:26] to and we will want to reimburse our our [1:01:29] cash reserves, we're given the [1:01:31] authorization to do so. And under [1:01:32] federal law, Garrett can speak to this [1:01:34] in more detail, that's a requirement. we [1:01:36] have to declare our intent to reimburse [1:01:39] ourselves with taxexempt money. So [1:01:42] that's something we've embedded in here. [1:01:44] I'll also note mayor that there is a [1:01:46] section referring uh to designated [1:01:49] persons. The city council delegates [1:01:51] authority to designated persons within [1:01:54] the council ranks and the staff ranks to [1:01:57] finalize terms and conditions. You as a [1:02:00] council have to decide number one, do we [1:02:02] do a public works building? If that [1:02:04] happens and the council says, "Yes, [1:02:06] we're going to do that and we want to [1:02:07] finance that." We have the authority [1:02:09] that we need to do this, but you have to [1:02:11] delegate to what's bracketed in the [1:02:14] resolution as three or four people, four [1:02:16] three or four individuals who will be [1:02:18] those designated persons to uh to [1:02:21] determine the final terms and conditions [1:02:22] of bonds to be issued. We usually see [1:02:26] that as two, usually an elected official [1:02:29] and a staff member. We've got in here [1:02:31] three or four, so you can choose any [1:02:34] number. We've got listed in the [1:02:35] resolution. Mayor, council members, city [1:02:39] manager, finance director. As a council, [1:02:42] you can decide, do we want three, do we [1:02:45] want four? And then any of one of those [1:02:47] three or four can be called on to make [1:02:49] the determination [1:02:51] um of final terms and conditions on the [1:02:53] bonds. It can do two. If you want to [1:02:56] make it two, I simply say we'll [1:02:58] designate or delegate to any two of the [1:03:01] following versus the three or four in [1:03:03] bracket. So that's up to you. They'd probably be one notch lower [1:07:00] than your general obligation, which is [1:07:03] the guilt edge municipal bond security [1:07:06] rating. And we don't know what that is, [1:07:09] but I suspect it's in the double A [1:07:11] range. [1:07:13] Perfect. That's a that's what we call [1:07:15] high investment grade ratings. It's [1:07:19] really uh really commendable. It's a [1:07:22] function of your rating or your economy, [1:07:24] your finances, your debt load, your [1:07:26] management practices and policies as [1:07:28] well. [1:07:29] >> When you put those offerings out there, [1:07:32] there's there's buyers is what you're [1:07:34] saying. They like those [1:07:36] >> Yeah. [1:07:36] >> rated bonds. I was on a call the other [1:07:38] day and the question was, you know, do [1:07:42] some buyers want more yield? So, they [1:07:44] may be dissuaded to buy Spanish fork [1:07:48] bonds because the bonds aren't going to [1:07:49] be really high interest rates, not a lot [1:07:51] of high yield because the credit's so [1:07:53] good. But yeah, I think most investors [1:07:56] buy municipal bonds because they like [1:08:00] good solid credits. they like income and [1:08:02] cash flow that's uh reliable and steady [1:08:06] and that's what Spanish Fork offers when [1:08:08] they sell their the Spanish Fork city [1:08:10] bonds. For for cities, typically [1:09:18] two has been the max. for sometimes more [1:09:21] complex authorities. I've seen, you [1:09:23] know, the three or four kind of being the threshold. The the downside to [1:09:28] having more is obviously if you're [1:09:31] trying to make some decisions quickly, [1:09:33] trying to get, you know, everybody, you [1:09:35] know, on board in terms of availability, [1:09:38] right, on quick decision- making. So, [1:09:40] you know, it's sort of what you feel [1:09:42] comfortable in in the middle of that. To [1:09:44] me, typically what I've seen the most of [1:09:46] is two, right? [1:16:46] So anyways, that's that's one of the [1:16:48] resolutions that we approved tonight. [1:16:51] for those that are watching um online [1:16:53] and and here in the room, the process [1:16:56] that you've gone through is kind of [1:16:59] unusual and and some people might wonder [1:17:01] what the heck are they doing going into [1:17:03] this other group and this other body [1:17:04] that um and I think it's helpful to to [1:17:07] maybe remind the public that as a city [1:17:09] council, everybody knows you as [1:17:11] Councilman so and so or councilwoman [1:17:13] such and such and mayor so and so, but [1:17:17] you also are the trustee of [1:17:21] uh an LBA or a board member of an RDA, [1:17:23] Spanish Fork has at least three legal [1:17:25] entities that it is. And so uh when you [1:17:30] have an agreement, when you when you go [1:17:32] do something as the local building [1:17:34] authority, the LBA, [1:17:37] you're going to do it on behalf of the [1:17:39] city. So now you have to have an [1:17:40] agreement with yourself. [1:17:44] One legal entity, the LBA, now has to [1:17:46] have an agreement with the city of [1:17:48] Spanish Fork. It's all you, but you're [1:17:51] going to take off the one hat you had on [1:17:53] and you're going to put on another. And [1:17:55] so now we're going to go through a [1:17:56] fairly similar process. It's not exactly [1:17:59] the same, but another document about the [1:18:01] exact same thing. But this document is [1:18:02] the relationship between the city and [1:18:05] the LBA. Um, it's a different document. [1:18:10] It's not the same, but it's about the [1:18:12] same thickness. Um, so with that, I'm [1:18:14] gonna let either Jonathan or Garrett arm [1:18:16] wrestle over who gets to talk about what [1:18:17] this is and then we'll go from there. [1:18:22] So that that was actually uh very very [1:18:25] well wellstated. Um, because of those [1:18:28] relationships, under state law, the [1:18:31] local building authority does not have [1:18:34] the power to do much of anything except [1:18:36] the power that's derived to it from from [1:18:39] the city council. Right. So part part of [1:18:42] why the the city council has to then [1:18:44] approve all actions they they first have [1:18:46] to approve all actions of the local [1:18:49] building authority after they've they've [1:18:50] been taken. They have to ratify those. [1:18:53] And then a lot of the agreements, the [1:18:55] legal agreements, part of the lease [1:18:57] revenue bond structure are between the [1:19:00] city and the local building authority. [1:19:03] With the city agreeing to make lease [1:19:05] payments to the authority who the local [1:19:07] building authority, an entity created [1:19:10] under state law, then assigns those [1:19:11] lease payments to to a bond trustee to [1:19:15] make those payments uh to to bond [1:19:18] holders. Um and and so that's why um not [1:19:22] only does the city have to approve all [1:19:25] the actions of the LBA, but then it also [1:19:27] has to approve of its own right the the [1:19:29] bond documents themselves and and the [1:19:31] legal agreements that have been drafted [1:19:33] there to which the city is a party. [1:19:37] The other aspect of this is that when [1:19:40] offering these bond documents or [1:19:42] offering bond documents, these bonds to [1:19:44] the public, the city legally under the [1:19:47] SEC rules has to make certain legally [1:19:49] required disclosures to the public about [1:19:52] essentially its its financial condition [1:19:55] and certain certain other ma certain [1:19:57] legal matters, tax matters, [1:20:00] etc. And so in doing so the the [1:20:03] authority typically does not have the ability. I mean it can and it can be [1:20:09] dele but under SEC rules the the [1:20:12] appropriate entity that makes a lot of [1:20:14] the representations and enters into what [1:20:16] we call a disclosure undertaking is [1:20:19] typically the entity whose credit the [1:20:21] investors are looking at which [1:20:23] ultimately even though the authority is [1:20:25] the obligor or the issuer of these bonds [1:20:29] the the ultimate credit that the [1:20:31] investors are looking to are are the [1:20:33] cities and so that's why the city then [1:20:35] approves a few addition additional [1:20:38] documents. One one of which being the [1:20:40] offering document as well as what we [1:20:43] call a continuing disclosure undertaking [1:20:45] where it agrees with the public to to [1:20:47] let the public know if certain material [1:20:50] events take place throughout the the [1:20:53] life of the of the repayment of the [1:20:55] bonds. We don't think that, you know, is going to happen based on [1:20:59] the the wowing credit factors that [1:21:02] Jonathan just just uh indicated that the public markets think of the city and and the way that things have been [1:21:09] managed. But legally, of course, we're [1:21:13] chicken little as lawyers. The sky is [1:21:15] falling. We have to deal with case [1:21:18] scenario. So, any questions with that? U I don't anticipate that'll [1:26:05] happen, but it certainly can. We saw [1:26:08] that in 2021. We saw that in 2022. [1:26:11] Um and so I think this gives us that [1:26:13] flexibility. Again, if and if nothing [1:26:16] changes, the plan is that we would [1:26:18] exercise uh the authority given today in [1:26:21] the late winter, early spring of 2027.
