Thank you very much for inviting us to. My name
[54:40]

This is a very well operating.

Performance metrics are very high, especially when compared to. Ontario.
[55:16]
So the focus from Red Valley and. It's my honor
[55:21]
and. Chair for. Otherwise, I defer to the expertise.

Just minor in the office, but we're sitting here. Owned
[56:01]
by town. Valley. We have seven board members. Six of
[56:05]
them are. Selling to Captain Orangeville. One of us installed.
[56:12]
When we look at our board structure. We care about
[56:17]
New Zealand. We have. Independent and non independent. We do
[56:21]
have three non independent. Board members because of their affiliation
[56:25]
with their shareholders, and for independent board members. When we
[56:30]
look back at our 20, actually talk a little bit
[56:32]
about us, and we are the electric utility, providing safe,
[56:36]
reliable power to Oracle in Green Valley. We are proud
[56:38]
that we also do some extra services for each municipality.
[56:42]
We do the billion collective. For in the Tampa Grand
[56:49]
Valley water and sewer in Orangeville as one of streetlight
[56:54]
maintenance. And. Not much too often, but to locate those
[56:59]
street lights. When we look at our 2024 activities and
[57:03]
we'll talk a little bit more about the. Agility, statistics.
[57:11]
Have a very strong year for real artists. I. Performance.
[57:16]
Amy will speak more about it in a little bit,
[57:17]
but if you want to see kudos. To a new.
[57:21]
Completing our 2024 cost service application. What that means is
[57:26]
we went front of the Ontario Energy Board for the
[57:28]
first time in ten. Years since 2014 for them to
[57:32]
deeply look on the market that way more than they
[57:34]
normally do. So we go in front of them, not
[57:36]
just asking for a standard rate increase, we go in.
[57:40]
Settings. We need to set our rates to the true
[57:42]
cost of serving our customers and. They look at everything.
[57:47]
Our operating team and demonstrative cost, capital requirements, depreciation, our
[57:52]
debt. And there's intermediates that challenge our lawyers and interviews
[57:57]
that challenge our rates. And we have to fight for
[58:01]
every penny. To justify doing what we've been doing for
[58:05]
100 years and what we would like to do to
[58:07]
keep doing for the next hundred? Specifically the next five.
[58:11]
But we need to set ourselves up for success in
[58:13]
the future. Amy will speak more about that. We continue
[58:18]
to elect fire. Corporate assets as we can. The purchase
[58:23]
of 2024 board lightning truck. So we have nine vehicles.
[58:26]
At the feet. Two of them are electrified. It may
[58:30]
stabilize air for a little while. Just because. Of the
[58:33]
options available. Trucks. Boom, trucks are built. As.
[58:46]
Municipalities do what we do too. We enhance cybersecurity. That
[58:51]
is a line item in our budget. So when you
[58:53]
look at every year, it keeps going. Up, but the
[58:55]
value that provides keeps going as well. And then when
[58:59]
you look at some of the things at the bottom,
[59:00]
too, we are proud that we are able to support
[59:02]
our customers financially for those in need. You have been
[59:06]
Boeing, the low income MG assistance program. Over 21,000. And
[59:13]
we do offer our Ontario electricity sport program. Almost 261,000
[59:19]
to customers as well. Top right on this slide is
[59:22]
a bit of charcoal. Water filling the town of portfolio.
[59:28]
Massive. Water beet replacement program. It started. In the discussions
[59:33]
in 2021, and you're not running in 2024, and we're
[59:36]
now? 95% the way through the deployment. They have smart
[59:40]
water meters? Just replacing the 20 something. Peril meters. They
[59:45]
also move and that up for my dust that significant
[59:47]
amount of efficiencies walking. Up to meters and one needed.
[59:54]
Four or 500 left that. Changed out, but it's like
[59:58]
a blood. I mean, that wasn't something. Just like that.
[1:00:02]
Really effective not being block gates and mysteries. They would
[1:00:06]
call customers, they say. I know computers usage and what
[1:00:11]
we've learned through that. The Austin Gray Valley we identified.
[1:00:16]
Some. Nuances with the old way of doing things. The
[1:00:21]
time frame value continue to do something like that. We
[1:00:24]
want to make sure our systems are really up to
[1:00:26]
date. For meter numbers. From what's actually the field to
[1:00:34]
what's in our CSS, we'll be doing the moving audit
[1:00:38]
for the property to grandma because the lessons learned about
[1:00:41]
original projects. We continue to revolt this conversion program. So
[1:00:47]
the town of Orangeville had variables in the dish. Historically.
[1:00:56]
Four kv. 28 kv. Time. Twelve five, 7200. I hope
[1:01:02]
he needs nice medium bitch. That will mean to. Do
[1:01:04]
this conversion. And so we have about five years left
[1:01:08]
in that program. And we continue to transform our corrosion
[1:01:15]
refurbishment program. When we look at Transformers and build and
[1:01:19]
we bring a copy of Windsor that actually is able
[1:01:22]
to do a bit more than just brushing the paint
[1:01:24]
up when I was a sony student. I grind it,
[1:01:26]
paint it, paint me a spray paint. After a few
[1:01:30]
years, brought in a couple of different companies. This went
[1:01:32]
out of Windsor. Will actually be able to buy bowls
[1:01:35]
that there's holes in the middle they'll actually do. Kind
[1:01:37]
of spot weld within sandblasting method. Pretty neat. They're just
[1:01:41]
telling the mercy of Windsor and will actually make the
[1:01:44]
Grand Valley this year using that same company after. Having
[1:01:49]
as much importance. Of course, have normal polar basement program
[1:01:53]
transformer replacement program connected to only seven. Seal homes in
[1:01:58]
Brink Valley. We just slowed down, obviously. Next slide. This
[1:02:04]
one is normally for. The citizens of the crowd or
[1:02:11]
there's no watching. But of course, you do wonder always.
[1:02:13]
The nice keyboard is everyone's been deep. Not always speak
[1:02:16]
with electricity bill. We do have three choices from our
[1:02:19]
customers. Everybody still has a smart meter. And everyone, and
[1:02:24]
you just have to have time of use rates and
[1:02:27]
then through pandemic you're given the option of switching back
[1:02:30]
and forth every month if you like team time. Use
[1:02:33]
over tiered. And then a few years ago, the ultra
[1:02:36]
low rate was available. For. Specific customer class. They use
[1:02:41]
it a lot in the evenings. Electric charger like heat
[1:02:45]
in the winter. The ultra rolls or you might be
[1:02:49]
the right fit when looking at any of these slides.
[1:02:52]
Who knows what you should be on. We do have
[1:02:54]
a calculator from our website you can type in your
[1:02:56]
account number, your name. Hey, look at your data to
[1:03:00]
see from historically, what would have been the right fit.
[1:03:03]
Maybe that will be seen in the future. If you
[1:03:04]
think you could. Make the choice right there. But of
[1:03:07]
course. Call our office and doctors. Dividend payments. So Orange
[1:03:12]
hydro spawn marchable 22 million corporation. In 2000 and the
[1:03:21]
town Grand Valley 562,000. And seven. The 23 four dividend
[1:03:28]
payments looking at last year. 506,000, split between Orangeland ran
[1:03:34]
Valley and the 2025 dividends that will be paid this
[1:03:38]
year will be 482,346, with 455 plus 456. Thousand to
[1:03:46]
the tower. Now move over to Amy. Silvering of the
[1:03:53]
reapplication. Board for. Each. And last
[1:04:02]
year it did. Table where you're prepared for and typically
[1:04:06]
it's completed every five years. But you had to burn
[1:04:09]
if there wasn't any. Two complete applications for ten years
[1:04:13]
in 2014 2024, and then. It does allow raise. So
[1:04:22]
customers this year, distribution rate increase as you can see
[1:04:25]
on the slide beginning on their May 1 2024 page.
[1:04:32]
This slide also shows that breakdown of a residential bill.
[1:04:36]
Puts the majority of categories being passed through costs which
[1:04:39]
are required to be collected by the uncare. Or the
[1:04:41]
electricity vendor as on hold, but the orange slices are
[1:04:44]
distribution revenue portion that's. A portion of harmful hydrogen. Next
[1:04:49]
slide, please. Our distribution revenue is mainly provided by their
[1:04:54]
residential customer class for their quick service charge in 2024
[1:04:57]
our institution revenues is higher than 2023 at 6.5 million
[1:05:02]
due to increase in both our fixed variable rate. Our
[1:05:09]
operating, maintenance and administrative expenses, or OMna, are split fairly
[1:05:14]
equally between all of the categories. Of the largest, being
[1:05:17]
general and administrative. The total LMA census in 2024 were
[1:05:21]
4.26 million. And then, as compared. To all the formal
[1:05:29]
needed. This increase has been detribated. Higher labor cost, higher
[1:05:34]
training conference cost. There have been a number of newer
[1:05:37]
satires within recent years. There's one also higher reactive operations
[1:05:42]
for higher customer academic senses. And what time regulatory. Next
[1:05:48]
slide. For gross capital expenditures in 2024 amounted to 2.9
[1:05:54]
million. That was about 11% lower than budgeted. The variance
[1:06:01]
at lower variance was due to lower customer driven subdivision
[1:06:04]
work which didn't materialize. In 24 that would have been
[1:06:08]
included in the system access line at the top. 2024
[1:06:13]
capital expenditures. The actuals were about $400,000 higher than 2023,
[1:06:17]
mainly due to the replacement of the roof and the
[1:06:20]
office portion of the rental hydro building as well. As
[1:06:23]
implementation of the GIS system. And in 2024, our debt
[1:06:30]
to equity was 52% and 48% effectively. We do take
[1:06:39]
new debt to funds, operating expenses, capital expenditures and also
[1:06:43]
regulatory. We haven't taken you to 2022 as the recovery
[1:06:48]
of historical regulatory variances have. Been high over the past
[1:06:52]
few years, which has increased our cash flow but not
[1:06:55]
needed to take the debt out of time. Last slide,
[1:06:59]
please. So here's an overview of our financial statistics, our
[1:07:04]
historical statistics. So the top line, our sale of energy
[1:07:08]
is a past year of our commodity cost. That's maybe
[1:07:10]
paid to the ISO, the independent electric system operator and.
[1:07:17]
These have to cause accounts for approximately 83% of our
[1:07:20]
total revenue. Our distribution revenue, as I mentioned, was 6.5
[1:07:26]
million and is used to fund our ongoing expenses, our
[1:07:29]
capital projects as well as our debt financing. Our total
[1:07:34]
comprehensive income in 2024 was 965,000. And then looking at
[1:07:40]
the capital axis or property planning and equipment line. Our
[1:07:46]
cortex had. We sold out of almost 28 million due
[1:07:49]
to the operating. Here. Our regulations electronically was 7.24%, which
[1:07:57]
is lower than our mean roe of 9.21. We need
[1:08:00]
you to lower than expected net income. And then a
[1:08:05]
number of customers has been steadily increasing year over year,
[1:08:09]
while our number of employees by FTe has been staying
[1:08:12]
fairly steady. Well pass the presentation by drop for the.
[1:08:18]
2024, we did a new record peak of our system
[1:08:24]
command. As we hit again over 52 mw. We did
[1:08:30]
hit that back in 2020. And it went down for
[1:08:34]
a few years and we had a new fee. 52
[1:08:37]
meg wealth in 2021, but a little bit more than
[1:08:40]
that one. Still 52 megah in 2024. So our system
[1:08:47]
in both service territory value used to be a winter
[1:08:49]
peaking territory, not that long. Ago. But. With a few
[1:08:54]
homes switching from electric heat to natural gas. And more
[1:08:59]
people installing air conditioning units. Grand Valley is now some
[1:09:02]
are deep service territory, same as the town. Our system,
[1:09:07]
whether it's a record or not, just depends on being
[1:09:09]
a heat spell or. Not a bath. Metal or not.
[1:09:14]
And then moving to the next slide. 2024 was a
[1:09:21]
reliable year. As previously mentioned, our average customer experienced just
[1:09:25]
15 minutes of outravages excluding loss of supply from the
[1:09:30]
town for about excellent muscle from hyper one. So it's
[1:09:35]
really in the assets we control. In just 15 minutes.
[1:09:39]
Next slide. Luckily, brand values. List or in pictures. We'll
[1:09:44]
get to have virtual. That's some pretty large. 28 duplicated
[1:09:48]
back wrench that just fell from large trees and falconer
[1:09:52]
between orange wilming Grand Valley the west side Orange will
[1:09:55]
philosophy on December 10 because. Whole fire. That's a hydro
[1:09:59]
one. Or they had an insulator fail and knocked out
[1:10:03]
multiple circuits. Luckily, none of us feed Great Valley. Grey
[1:10:09]
Valley Speed comes out of the original TS through the
[1:10:11]
waste transfer site and. It goes through M two. S
[1:10:16]
north and the west coast system south of the station.
[1:10:19]
Does this one, in fact, too. Everything went dark. Yes.
[1:10:25]
And then there was another one that we didn't have
[1:10:26]
a nice picture of, but. July 30 lost by the
[1:10:30]
end of the town. Marshall and Dippen Peter and that
[1:10:32]
was because of some construction activity that was going on.
[1:10:36]
On the. And something got too close to buyers. I
[1:10:42]
was quick off. We do. Like all companies who do
[1:10:45]
a corporate scorecard. That we did want to provide some
[1:10:51]
slides within the document. This is going to be publicly
[1:10:55]
available. This one's made in house for now. In September.
[1:11:01]
Doe releases their version of this. Maybe the same numbers,
[1:11:05]
but they'll speed, run down and. It opened, a few
[1:11:08]
others filled in, and so we do monitor ourselves overall.
[1:11:14]
Our reliability, our financial statistics, our. Search quality stats all
[1:11:20]
still cover the we want them to be. We're always
[1:11:23]
looking to approve. But there wasn't jumping off the pages
[1:11:28]
that we needed to. Best trending in the wrong direction.
[1:11:32]

they don't also use natural gas for their ac. But

you're saying most safe fees are being hooked up to
[1:12:17]
the electrical, yes. So it'll be 40 amp rate. And
[1:12:23]
they'll build a compressor. All residential air conditioners that I'm
[1:12:28]
aware of are electric. Okay. That's that. Real quick.
[1:12:40]
Shareholder equity continues grow year over year with launcher planet.
[1:12:44]
That I did read here at bam. So David. I
[1:12:47]
don't talk. Like the long term plan. Growing year over
[1:12:53]
year. So what is the plan of it? I can
[1:12:57]
do. Yeah. So. The way chairwart promotes. It's the dividend.
[1:13:04]
Right. So when we look at our netting, when we
[1:13:08]
look@our.net. income, which. Right. Now you have a target. And
[1:13:13]
so half of that should go to dividends. 500,000 and
[1:13:18]
about 500,000. Towards increasing shareholder equity. And then that will
[1:13:26]
be driven to management team and at the board level
[1:13:28]
is increase that incrementally. Year over year. A little bit
[1:13:33]
above that 1 million minute. And so it should be.
[1:13:39]
Growing at about, hopefully 500,000. What is the outcome of
[1:13:43]
retain shareholder equity other than financing capital? Practical. Practical.
[1:13:53]
At some point. Yeah, that's what I'm getting to. It's
[1:13:57]
going to keep growing, so. Why am Jit at some
[1:13:59]
point decide to pay a point? So where it helps
[1:14:03]
us. State the obvious. The balance sheets are assets. They're
[1:14:07]
looking to grow our assets to connect. New customers and
[1:14:10]
take out depreciated old infrastructure funding. So by having that
[1:14:15]
retained. Certainly helps us reduce the amount of debt we
[1:14:20]
have to use the finance and interest on to fund
[1:14:23]
those assets. So as our top, the balance sheet hopefully
[1:14:27]
grows with new customers, new subdivisions, more and access to
[1:14:31]
maintain down below will redeem the debt. Has to go
[1:14:35]
up more because of shareholder equity increase, and then that'll
[1:14:38]
be. Two things. One, increase our operating expense of financing
[1:14:42]
costs, and two, It's that your capital appreciation on this
[1:14:46]
dog. So you are owning a more valuable company. Without
[1:14:50]
the debt binding of your asset value. And so, as
[1:14:54]
a shareholder, you want to see that. Grow, and that's
[1:14:57]
that balance of cash now as a dividend, which helps
[1:15:00]
the tax. Base today. Or versus. Debt conversation of a
[1:15:07]
more valuable asset that you own. And I should mention.
[1:15:13]
When we talk about in our sector. Regulator on equity.
[1:15:17]
So of course, we look at our financial statistics like
[1:15:19]
other companies do, too. We have a very specific calculation
[1:15:22]
for us, our regulators, of return on equity. That's one
[1:15:25]
of the biggest topics in our process. Application, for lack
[1:15:28]
of a better, that's our profit. In our ranks, and
[1:15:33]
one of the values. That. Our current cost of capital
[1:15:39]
structure is our rate 19. Step. When you look at
[1:15:43]
our property plan and equipment at the top of our
[1:15:46]
balance sheet. That property plan of equipment is one of
[1:15:49]
the largest impacts on what our return on equity is.
[1:15:55]
And so the more valuable Pe is. Thinking our PPA
[1:16:00]
personal protective equipment, but. In the ppne, the higher that
[1:16:04]
is, that can lead to. Future. Larger return embedded in
[1:16:09]
the rates. So it is helping us increase net income.
[1:16:14]
So it's a balance of can we increase our property
[1:16:17]
plan and equipment again? Shareholder and it's helpful to meet
[1:16:21]
up by sharing directly. Really investing back into utility. One
[1:16:25]
other testament for you. Chair is on water meter replacement
[1:16:30]
with orange bell. Is there a cost? Recovery above and
[1:16:32]
beyond what you charge municipalities to new their water. So
[1:16:38]
for that. It is their project. And. We were happy
[1:16:44]
to tag along because we didn't want to lose that
[1:16:47]
service, so we were happy to take it along. They.
[1:16:54]
Bought this tens of millions of dollars to replace those.
[1:16:58]
Needs. Millions of dollars to replace those meters. And so
[1:17:02]
what we did. Our effort was to upgrade our systems
[1:17:06]
to integrate with their new metering infrastructure. Some of that
[1:17:11]
was paid dollar for dollar. Buy them. We pay our
[1:17:14]
coding people in Covid. And then we send the bill
[1:17:16]
to the virtual to pay for that. Zero. And then
[1:17:21]
there was a few things that we will buy efficiencies
[1:17:24]
on that. We've got, but the majority of our costs
[1:17:27]

independent body charged with reviewing and bringing forward recommendations. Recommended

changes on enumeration, benefits and expenses for counseling, as well
[3:12:20]
as other individual policies for the offices of mayor and
[3:12:24]
council and further, that the following be used as a
[3:12:28]
framework review. The matter compensation as it relates to public
[3:12:33]
office by meeting. With each current member of council receive
[3:12:37]
the compensation package supported by market data and comparable use
[3:12:41]
element. Terms of scope, size and nature of work. View
[3:12:47]
the function and responsibility that mayor and council. Level of
[3:12:52]
committee engagement and time commitment requires of individuals holding municipal
[3:12:57]
office, including not limited to, meeting event participation time, communication,
[3:13:04]
public. View meeting times and what day of the week
[3:13:08]
council meetings are held to ensure public accessibility. Member attendant
[3:13:13]
and lack of hindrance. Those balancing full time jobs and
[3:13:18]
serving. Overseas preparation and presentation of a final report and
[3:13:24]
recommendation to Council for approval. And further, that the committee
[3:13:30]
seeks public input on these topics through surveys or open
[3:13:34]
house. As well as council input. Two and further, that
[3:13:42]
the term of council starts August 2025 with a minimum
[3:13:47]
three meetings and will attempt to present the report to
[3:13:51]
count no later than December. Of 2025.

Amprangel left. We had seven people. There hadn't been interest
[3:16:17]
in the past. I think throughout 2022, to be honest,
[3:16:21]
people are coming out of the pandemic. The last thing
[3:16:23]
they wanted to do was think about shit like this.

They want to get back to. Their lives. That's sort
[3:16:28]
of my personal take on it. The second part. Compensation
[3:16:36]
benefits many times. Yeah, I don't think you're ever going
[3:16:41]
to find the meeting time that everybody likes. People yeah.

So it kind of depends on the makeup. If we
[3:16:49]
were going to go this route, One of the things
[3:16:52]
that I would say is anyone sitting on this committee
[3:16:54]
cannot run because or else you're going to get the
[3:16:58]
committee saying we want to be paid a lot of
[3:17:00]
money, and we want to meet on these high speeds.

That works best for us, I guarantee you. It's not
[3:17:04]
going to work best for me. I just work every
[3:17:08]
time I come to Bermuda. I'm okay with that. That's

what I signed up for and to be on. And
[3:17:14]
I said this lots of times. I don't want people

here for the money. I want people here that are

sacrificing for their community. That's. I think we all do

it, and I think there's enough people that are going

to be willing to do it again. I think we

would really have to narrow down the focus of this.
