[4:24] Chris Connolly with Taft Law. Uh I'm here representing the Delaware County

[4:28] Finance Authority on a project that we we've kind of called the Four Winds

[4:32] Drive project. Basically, um north of 36 37 along Four Winds Drive,

[4:39] there where that residential development is. There's both apartments and

[4:42] single-family homes back there. Um what what the Finance Authority would be

[4:48] looking to do would be to issue bonds through its bond fund,

[4:51] um backed by TIF revenues that uh from the

[4:55] Township. So, back in 2017, I think, uh we uh approved

[5:00] a TIF um on on that um the Township approved a

[5:04] a TIF on that project back there. That project's fully built. The TIF's cash

[5:09] flowing. Um it it's an attractive uh an

[5:12] attractive project for the Finance Authority because, you know, when you

[5:15] have when you take construction risk out of the mix when something's already

[5:19] built, it yeah, investors like that. So, um what you have before you uh this

[5:25] evening is a draft cooperative agreement >> [gasps]

[5:27] » um that is among the Delaware County Finance Authority, the Township, the

[5:31] developer here, which is Brook Dock Investments, and Argent Institutional

[5:36] Trust Company, which is the trustee for the bond fund at the DCFA, and it

[5:41] contains the mechanics for how the TIF dollars are used to service the debt of

[5:46] the bonds. And um the township's only obligation under

[5:51] that is to uh is to pledge the TIF revenues

[5:56] directly to the trustee to be held by the bond trustee and then paid out

[6:01] and and then paid out as as debt service is paid on those bonds. So, there's no

[6:09] uh general obligation the obligation pledged from the township. There's no

[6:14] uh really no financial obligation from the township other than other than

[6:19] turning those TIF funds over. If the TIF funds are not sufficient, then the

[6:22] developer bears the risk of that not happening. But, I think that's a pretty

[6:26] low risk for this project considering we have good ideas to what the TIF revenues

[6:30] are. So, it's similar to what what the township did for the Tanger

[6:36] Outlet Mall bonds and then more recently the N20 Realty Mercedes dealership the

[6:42] infrastructure there that was part of the CFA's bond fund last year. A similar

[6:46] cooperative agreement that I modeled this one off of that one that that that

[6:49] the township [clears throat] approved to to help help facilitate that project.

[6:53] So, I'm happy to answer any questions that

[6:56] anyone has. But, that's sort of a 10,000-ft summary of what the what the

[7:01] request is that's before you tonight.

[7:07] » So, I'm I'm I am a little bit confused on this. Is this

[7:11] Do they get paid back for putting in the infrastructure? Is that what this does?

[7:15] » Yes, it essentially the developer paid for the infrastructure. The

[7:19] infrastructure's in. >> [gasps]

[7:20] » Um and they um what and they have a TIF agreement with

[7:26] the township that's existing meaning that they can get reimbursed using TIF

[7:30] funds. What the ask is here is to seek a bond issuance to monetize that stream so

[7:34] they can get paid right now. Um so, that that's what the ask is. Yes, the

[7:39] infrastructure's already in, already paid for,

[7:43] Um and the developer submitted proof of cost

[7:47] and payment that I've gone over with administrator Vaughn and talked about

[7:51] and sort of gone through that that process because that's one of the

[7:54] requirements is that the developer submit a cost certification that's

[7:58] signed to the township saying, "These are the costs we incurred." The township

[8:02] says, "Yes, those are the the right costs. They're eligible under

[8:05] under the TIF arrangement." >> So, this just gets them the money more

[8:11] quickly. >> Rather than over time, yes.

[8:13] » So, the county is holding delaying them they're holding

[8:19] The developer gets the money fast, like right away, and then the county is using

[8:24] the bond money to pay them. >> Yes, exactly.

[8:28] Exactly. So, they they they will go out there's an underwriter who will go out,

[8:31] sell these bonds in the in the capital market, someone will buy the bonds, and

[8:36] then that investor will get paid as the TIF revenues come in.

[13:12] outcome of that was or what sites have have or have not been selected. Their

[14:46] and they're just trying to put it all together to make it happen and then they

[14:49] would bring this package together and present it to the

[14:53] residents of these two communities cuz they'll ultimately have to vote on it

[14:58] and whether to pass it and whether and how to pay for it.
