[34:42] issues with the language that was

[34:43] written in it, um, we

[34:47] decided to start with just a 2027

[34:51] agreement. Um, because undertaking

[34:55] a whole new agreement in the very short

[34:58] period of time that we had was going to

[35:00] be

[35:02] monumental. Um, so we focused on some

[35:07] specific areas which, um, we highlighted

[35:10] in yellow. Um, and I can just call

[35:12] attention to a few of them here. Um, one

[35:16] of them, before we get to the ones in

[35:18] yellow, um, the town of Lake Mills had

[35:20] requested to be removed um, from all

[35:24] language for this agreement. um they had

[35:29] provided their notice of withdrawal from

[35:31] the commission for um starting in 2027.

[35:36] Um we as a commission have stated though

[35:40] that if the town of Lake Mills does want

[35:43] to resend that withdrawal before the

[35:46] year, they can be added back into that

[35:48] language very easily.

[35:51] um few of the the highlights um under

[35:55] section 2.1.1 duties and authority um

[35:59] section or item C where it states all

[36:02] notes, drafts and other orders uh

[36:04] payment of money um shall be signed and

[36:08] or approved by the president and

[36:09] treasurer and dispersed by the

[36:11] accounting firm or bookkeeper. Um in the

[36:14] previous agreement, it did list the

[36:16] president and treasurer. um we chose to

[36:19] add the language for the bookkeeper um

[36:21] just to ensure that that practice stays

[36:24] going forward. It's been very beneficial

[36:26] for record keeping for all of that for

[36:28] us to um in financial records. So that's

[36:31] been huge for us. Um the composition of

[36:35] the

[36:36] commission currently it will remain as a

[36:39] three voting member commission. Um the

[36:44] biggest part of this is that each

[36:46] municipality may appoint an alternate uh

[36:49] commission member who shall be an

[36:51] elected official as will be um but uh an

[36:55] alternate who can attend meetings and

[36:57] will have full voting rights acting in

[36:59] that role. Previously you could send um

[37:01] someone but they had no voting rights.

[37:03] So we want to ensure that the

[37:05] municipalities are represented at every

[37:07] meeting rather than just a small few.

[37:11] Um the if there is a uh commission

[37:15] vacancy that must be filled within 30

[37:17] days. I previously had said 60 days.

[37:20] Um the approval of minutes um shall be

[37:25] available to the municipalities within

[37:26] 10 days. So and then those will also be

[37:29] um on our SharePoint site uh which will

[37:32] be available to the public as well.

[37:36] when you say our SharePoint site,

[37:38] » The commission,

[37:39] » Sorry, the commission.

[37:41] » Um,

[37:43] let's see. And then the biggest probably

[37:45] the hugest part um of this uh change was

[37:51] um the

[37:54] audit. Um previous documentation had

[37:58] stated that the um auditor or the third

[38:02] party auditor may be chosen

[38:06] um by the commission. Um we left the

[38:09] language may be chosen by the

[38:11] commission. Um where we have changed it

[38:14] is that the commission will pay the

[38:16] initial costs of the audit. um which

[38:20] then that will be reimbursed um by the m

[38:23] withdrawing municipality. Um this will

[38:26] give the commission and remaining

[38:30] municipalities um more

[38:33] authority um to ensure that the audit

[38:36] gets completed in a timely fashion as to

[38:39] um as opposed to the the current

[38:41] practice where you know it was drug out

[38:43] for quite some time. Um and then the

[38:47] other section of this um that is a big

[38:52] change is that if the audit is not

[38:55] finalized in one year from the date of

[38:58] withdrawal or if the mun the withdrawing

[39:00] municipality fails to cooperate with the

[39:03] audit then the audit shall be terminated

[39:05] and the withdrawing community shall not

[39:07] be entitled to any payment from the uh

[39:09] commission going forward.

[39:12] So those are the big highlights

[39:19] questions.

[39:22] » Um I assume this was a um this was a

[39:26] decided between the entire commission.

[39:29] How happy are you with this document?

[39:30] » I am very happy with it. Um it it

[39:33] doesn't address all the problems but it

[39:35] addresses the big problems. Um, and you

[39:39] know, as as we sat down and looked at

[39:42] this, we took the input from all of the

[39:44] the communities, and really there was

[39:46] only two areas out of all of the input

[39:50] that was given that um didn't align.

[39:53] Every everyone else pretty much aligned

[39:55] in the same fashion. Um, so I think as

[39:59] as a shortterm

[40:01] agreement, I think it's it's about as

[40:04] solid as we're going to get.

[40:05] » How much is going to be getting to that

[40:08] long term from where this is.

[40:10] » Um, we'll probably be starting it in

[40:13] November to have it completed before the

[40:17] end of 27. So,

[40:20] » A lot a lot. Um, we'll be coming back to

[40:23] the municipalities again to

[40:26] um input. you know, we've got a couple

[40:28] of draft ones that we have looked at and

[40:31] we'll take a further deeper dive into

[40:33] some of those and see um in that one we

[40:36] can explore different um calculation

[40:39] options. Um you know, each seems like

[40:43] each municipality around the state kind

[40:44] of does things a little bit differently.

[40:46] So um we want to kind of explore all of

[40:48] that as well.

[42:20] communication gobetween
