» Sorry about doing my back for the
[19:48]
awkward stuff. Um so we
[19:51]
uh once again brought a brief
[19:53]
presentation but as I
[19:55]
feel it's a privilege to be able to
[19:56]
present to you and talk to you about
[19:58]
uh the progress on our project. Uh and
[20:02]
and provide some some some updates.
[20:04]

» I'm Stephen Jones. Jones. I'm the CEO of
[20:11]
Biofine Developments Northeast. The the
[20:14]
the company that's developing the
[20:17]
biofuels project at the at the former
[20:19]
naval site.
[20:19]

» Um so let's see. If you go to the next
[20:24]
slide very briefly I know you've heard
[20:27]
all of this before but but for anyone
[20:30]
who hasn't just to
[20:31]
quickly
[20:33]
recap. Uh so Biofine is a
[20:36]
green chemicals and biofuels developer
[20:39]
and manager. Bio show fuels our own
[20:41]
proprietary technology that is the
[20:43]
subject of 28 patents worldwide
[20:46]
for
[20:47]
manufacturing these these proprietary uh
[20:51]
compounds and chemicals.
[20:53]
Biofine main phase one will make its
[20:56]
home here in Lincoln, Maine.
[20:59]
We've been working on it with
[21:01]
you and and staff
[21:04]
for several years now and as you know
[21:06]
we're closer.
[21:08]
Uh the plant will be a 150 um per day
[21:11]
dry ton, 200 green ton processing
[21:13]
facility where we'll take 150 tons of uh
[21:18]
wood and paper
[21:20]
and convert into 4 million gallons of
[21:23]
biofuels and then some very valuable
[21:26]
chemicals that I'll talk about in a
[21:28]
minute. Uh we signed a long-term lease
[21:30]
with you that was also extended um
[21:33]
just
[21:35]
earlier this year. Um
[21:37]
our final permit applications were filed
[21:40]
in September 2024. I'll give you a quick
[21:42]
update on where we are with those.
[21:45]
Um we're building the the project under
[21:47]
a
[21:49]
EPC design-build construction contract.
[21:52]
And we have a long-term off-take
[21:53]
contract with Spray Resources. Uh we
[21:56]
partnered with Fire Rock Chemicals for
[21:58]
the balance of the
[22:00]
chemical products that we're producing.
[22:02]
Um
[22:04]
we're relying on the the towards
[22:05]
forestry
[22:06]
industry side.
[22:09]
Our vision in Lincoln includes scaling
[22:12]
up 10 times
[22:14]
from what we have
[22:17]
planned to start later this year.
[22:19]
Um
[22:20]
we have a 1,500 ton ton per day plant
[22:23]
that takes advantage of all of the
[22:25]
various site elements and
[22:27]
characteristics. Um utilities, rail
[22:29]
siding, and all of the work that the 17
[22:33]
plus million dollars in grants have have
[22:37]
provided for us.
[22:39]
Um there's plenty of local feedstock,
[22:41]
and we look forward to this continuing
[22:43]
partnership with
[22:45]
with the city and and staff.
[22:48]
Um if you go to the next slide,
[22:50]
I have a few slides here to quickly
[22:52]
provide some updates from the last time
[22:55]
that we
[22:56]
talked to you. So, so very often in
[22:58]
these projects, permits, certifications,
[23:01]
and licenses are the things that hold us
[23:03]
up, we are running at or close to
[23:06]
schedule
[23:07]
on all of these. As I mentioned, our
[23:09]
final permit application went in in
[23:12]
September of last year.
[23:14]
There've been no questions or
[23:15]
objections, and so we're waiting two
[23:18]
things. Finally, on that, there's a geo
[23:20]
tech survey that needs to be done and
[23:21]
then another final condition, which
[23:23]
include
[23:24]
our construction contract finalization
[23:27]
and and and and closing on financing.
[23:31]
One terrific thing that's happened, and
[23:33]
again,
[23:34]
with much thanks to um
[23:38]
uh
[23:38]
Manager Bronson and the city of Warwick,
[23:42]
the DEP agreed with us that their
[23:44]
chapter 409 waste permit waste
[23:47]
processing facility permit did not apply
[23:49]
to us. Um when I spoke to you last, that
[23:52]
was sort of on the horizon,
[23:54]
looming as a potential one-year delay
[23:57]
in the project, and and we were thrilled
[24:00]
that um you know, that they
[24:02]
found their way and in no small part
[24:05]
uh due to the help of the good staff.
[24:10]
Um
[24:12]
Biofine has a intellectual property
[24:14]
license. It's sort of behind the curtain
[24:16]
for you guys, something you don't
[24:18]
probably
[24:19]
expect to ever see, but there's a pretty
[24:21]
rigorous process for licensing and
[24:24]
utilizing the IP of this project.
[24:27]
We agreed and executed the
[24:29]
license for the for the specific
[24:31]
project, so we're pleased about that.
[24:34]
Um the final we we have to get ASTM
[24:37]
certification for our fuel,
[24:39]
and the final balloting on that is due
[24:42]
before the year end. First ballot will
[24:45]
be in September
[24:47]
for ASTM. There's always at least two or
[24:50]
three,
[24:51]
so we'll have our final one for the year
[24:53]
end. Um our designation for our pathway
[24:57]
process for RINs with the EPA is in
[25:00]
process. This isn't actually something
[25:01]
that we um have to have before financial
[25:04]
closing and starting construction, but
[25:06]
it's something um that we uh decided was
[25:09]
interesting to to get started with. So,
[25:12]
um you know, that's just um
[25:14]
uh for your information.
[25:16]
Um another thing that we need to have
[25:18]
before
[25:20]
uh starting construction is our uh
[25:23]
uh carbon dioxide fuel uh pre-assessment
[25:26]
from uh one of the exchanges. Uh Pure
[25:29]
Earth uh is finalizing that subject to
[25:33]
the final results of the tested our bio
[25:36]
biochar. Um we have a number of other uh
[25:40]
product tests and certifications that
[25:42]
are
[25:43]
um uh either in hand or in process, uh
[25:45]
none of which uh threaten our schedule.
[25:49]
Um and lastly, uh we were told that we
[25:51]
did not need a permit for handling
[25:52]
ethanol um uh on on the basis of the um
[25:57]
federal plan. So, that's the story on on
[26:00]
permits and certifications. We're happy
[26:02]
that that's running uh as I say, on
[26:04]
schedule. Um in the next slide, uh we'll
[26:07]
talk about uh uh this is our
[26:09]
construction contract and construction
[26:11]
design contract.
[26:13]
Um uh so, that we've concluded EPC uh
[26:17]
term sheet negotiations with our
[26:18]
contractor, Veolia Water. Um
[26:22]
uh
[26:23]
the um there is an outstanding
[26:25]
discussion going on about uh final
[26:27]
price, of course, as you can imagine. Um
[26:29]
always kind of the last thing. Um we've
[26:31]
made a number of design changes in the
[26:34]
course of this uh uh
[26:36]
uh re-contracting. If you remember, we
[26:38]
had a uh a contract with um that failed,
[26:41]
um and we had to re-contract. Um so, we
[26:44]
took the opportunity to look through a
[26:45]
number of things, what waste water
[26:47]
discharge um and the water discharge
[26:50]
quality, um which is going to benefit
[26:52]
you and us in terms of the size and uh
[26:55]
um, the amount of waste we're going to
[26:56]
have to treat.
[26:57]
Um,
[26:59]
uh, we've then increased uh, production
[27:00]
capacity marginally,
[27:02]
um, added some additional product
[27:04]
modules, and um, and made our our our
[27:07]
uh, internal site design site agnostic.
[27:10]
So, uh, this is it's the design that we
[27:12]
can use,
[27:14]
um, as we build out in in the subsequent
[27:16]
frames. Um, so that's
[27:18]
uh, creating some delays for uh,
[27:21]
um, um, we're probably putting into
[27:22]
first quarter now of of next year. I
[27:25]
think I told you uh, year end when uh,
[27:28]
when I was last with you.
[27:29]
Uh, but um, we think that those uh, the
[27:32]
added functionality and the quality of
[27:34]
the design package more than offsets the
[27:36]
the the delays. Um,
[27:39]
there are some increased costs, uh,
[27:41]
tariffs for imported goods, and then uh,
[27:44]
some of the additional time capabilities
[27:46]
are uh, impacting our costs. Um, we have
[27:50]
been able to drive some competitive
[27:51]
tension from some competing proposals on
[27:54]
the construction contracts. Uh, so we
[27:57]
feel good about that.
[27:58]
Um, and finally in this space we're
[28:01]
pushing very hard to optimize and make
[28:03]
sure that all of the local construction
[28:05]
and engineering trade are are utilized.
[28:08]
Um,
[28:09]
uh, the our largest uh, and and we've
[28:12]
been pretty successful with that.
[28:15]
Um,
[28:17]
in the next slide we talk about some of
[28:19]
the things we've done on products.
[28:21]
Um, product it's uh, products this is
[28:24]
uh, slide five. Um, product
[28:26]
optimization. There we go. Uh, and I'm
[28:29]
not going to drive you through all of
[28:30]
these, but basically what this slide is
[28:33]
supposed to show is the the sort of uh,
[28:36]
primary non-fuel products,
[28:38]
um, the various permutations of these,
[28:40]
and and uh, where we expect to
[28:43]
uh, market them. Um, as I mentioned,
[28:47]
uh, all of the non-fuel products that

we're marketing they being marketed with
[28:50]
Carcross Council south of Kansas City.

We've got a terrific relationship with
[28:55]
them and they they've been
[28:58]
they've been very collaborative on
[29:01]
on all of these. And finally, we're
[29:03]
finalizing the feedstock contracting
[29:07]
with
[29:08]
three or four of the major forestry
[29:10]
groups in the in the region with term
[29:13]
sheets in process. We're also
[29:17]
looking at some post-process
[29:20]
paper residues from the MRC in Hampton.
[29:24]
Um, and and that's actually helping that
[29:27]
project get get get rolling as well.
[29:31]
Um, one of the things that we're trying
[29:32]
to do with the US EPA right now is to
[29:37]
uh uh
[29:38]
is to get the EPA to accept that we can
[29:42]
use pulpwood for as our feedstock and
[29:45]
that would qualify under the RFS. Um,
[29:49]
that's important because right now we're
[29:51]
using
[29:52]
this tops and tails, pre-commercial
[29:55]
thinnings,
[29:56]
and you know, slash. Um, but pulpwood is
[30:00]
still being dragged back into the woods
[30:02]
when when it can't be marketed
[30:04]
to forest fire concerns. And so, it's
[30:07]
you know, it's it's it's a wasted
[30:09]
product. So, we think we'll be
[30:10]
successful. It's not it's not critical
[30:12]
for us going forward in with the
[30:14]
project, but
[30:16]
we'd be really happy to see that uh
[30:18]
see that be successful.
[30:20]
Um, and I just want to say in the next
[30:23]
slide one word about
[30:26]
actually one more

[30:31]
process and timing because
[30:34]
as I said, we've been working with you
[30:35]
for several years.

You probably sit and wonder like what
[30:39]
are those guys doing? What's taking them
[30:41]
so long? Like, come on already. We
[30:44]
This is a development process very
[30:46]
iterative process. We We have a number
[30:48]
of work streams and I've listed them out
[30:50]
here, citing, permitting, engineering,
[30:52]
feedstock, teaming and technology,
[30:55]
operations and maintenance, and
[30:57]
All these have financial implications.
[30:59]
All of them have to be documented and
[31:01]
contracted. And we need to be able to
[31:04]
make sure that the market's going to
[31:05]
accept them. So So, this is sort of my
[31:08]
attempt at drawing this sort of cycle.
[31:11]
I don't I I hesitate to call it a
[31:13]
virtuous cycle, but it's a cycle
[31:15]
that that leads us through the process.
[31:18]
Our model
[31:20]
has over 200 independent variable
[31:22]
assumptions
[31:23]
and 100 different operating
[31:25]
calculations. So, you know, every time
[31:27]
we change one,
[31:28]
we have to go back through and and and
[31:30]
and and re-evaluate all the others. So,
[31:33]
you know, if you're wondering what we've
[31:35]
been doing, that's that's that's that's
[31:37]
sort of it.

Additionally,

what we've been doing in the next slide.

And the last slide is

just a few new things. We've gone

about an MOU that we've executed with

Drax corporate out of the UK. Drax is a
[32:50]
10 billion dollar
[32:52]
UK utility
[32:54]
that long ago converted their coal-fired
[32:57]
power plants to wood pellets.
[32:59]
And they source most of those wood
[33:01]
pellets in the US. So the MOU that we've
[33:04]
signed with them is
[33:06]
is an MOU to
[33:09]
look for design innovation and and cost
[33:11]
sharing opportunities,
[33:14]
new product development. They would like
[33:16]
to use our char to
[33:18]
increase the heating value of their
[33:20]
their pellets, which
[33:22]
you know, have at it. We love that. And
[33:26]
and then of course future co-location
[33:28]
options which can include either
[33:30]
existing plants or you know,
[33:32]
or Lincoln for that matter.
[33:35]
Um
[33:36]
And then finally I think just reported
[33:40]
at the
[33:42]
meeting by National Energy
[33:44]
and Fuels Institute conference,
[33:47]
we have been receiving tremendous
[33:48]
unsolicited interest in
[33:50]
the yellow hammer
[33:52]
fuel oil.
[33:54]
Not surprising us, but you know,
[33:56]
gratifying to see that come to fruition.
[33:59]
Sort of validates our business model and
[34:01]
and all of the things that we say we
[34:03]
want to be here in Lincoln.

That's coming from corporates and
[34:07]
institutions and we've been replying to
[34:09]
RFPs

and soliciting or

working on

you know, realizing on some of those

gets to pass on the first try. So that's

» So, to make it short, the project is
[38:48]
ongoing. And once it's done, I should
[38:50]
have a list of all the properties that
[38:51]
were added in all the ones that were
[38:53]
built rebuilt for multiple years.
[38:55]
But, as I stated in my monthly report
[38:58]
that as you read it, when I came back
[39:01]
from Chicago, I had a property owner
[39:03]
come into my office
[39:05]
and look at me and say, "I did the
[39:07]
calculation on the 30% cross-the-board
[39:10]
adjustment. When I did it, something's
[39:12]
not adding up." At that point, I told
[39:14]
him that the factor adjustment that goes
[39:16]
to all properties, there's no way it
[39:19]
could not add up.
[39:20]
In the duration of when I went to
[39:22]
Chicago, I noticed that there was a
[39:24]
different program added to our Trio
[39:26]
program called account maintenance. We
[39:28]
use short maintenance in the town of
[39:29]
Lincoln.
[39:31]
When this gentleman was in my office and
[39:33]
I double-checked, because when I did the
[39:35]
first calculation, I had checked the
[39:37]
accounts to make sure it went through
[39:38]
accurately and there was no problems
[39:40]
with the factor.
[39:42]
When I checked it when this gentleman
[39:44]
was in my office, I found that the land
[39:46]
values were inflated, not 30%, but over
[39:49]
60%.
[39:52]
So, I went and talked to the treasurer
[39:55]
and we called Trio, who is our software
[39:58]
company. They informed me, they said,
[40:00]
"Oh, we don't know how this happens. It
[40:03]
randomly happens. It just adds in. Did
[40:05]
your property values double?"
[40:09]
I was not happy. I was very upset, and I
[40:13]
felt this was just perfect timing that
[40:15]
it adds to the credibility factor we
[40:17]
already have.
[40:19]
At that point, the treasurer, Melissa
[40:21]
Cantella, who does our technology, put a
[40:23]
call in and said, "We need this fixed,
[40:25]
and we need this fixed immediately."
[40:27]
It was almost 2 weeks before the
[40:29]
software company got back to us. So,
[40:31]
this is why commitment is delayed.
[40:34]
This is why I have done the corrective
[40:36]
adjustments that they've done with the
[40:38]
uh factoring. But, in addition, when I
[40:41]
went in to try to correct this on my
[40:43]
own, when I discovered the issue,
[40:45]
started deleting the town information.
[40:48]
So, I'm in the process of reviewing
[40:50]
accounts, putting that back, and we have
[40:53]
a target date for commitment of the
[40:54]
15th, but the bill rate I gave you of
[40:57]
$15 and
[40:59]

[40:59]
» 68 cents is not accurate. It's $17.40
[41:03]
because of that 30 extra 30%, which has
[41:07]
now been corrected, which amounts to
[41:09]
about a 7% increase in everybody's tax.
[41:14]
So, with that, all I can tell you is
[41:18]
this was out of our control,
[41:20]
and luckily, uh
[41:22]
had it call on speaker, so it was plenty
[41:24]
of witnesses. I'm not making this up.
[41:28]
And in going to tax school this past
[41:30]
week, I found out that there were many
[41:31]
others that had the same issues. So, all
[41:33]
I can tell you now is it's been
[41:35]
corrected. I've checked the accounts. I
[41:38]
put the information that was deleted
[41:39]
when I tried to correct it back in, and
[41:42]
I'm still working on adding values, and
[41:44]
hopefully, we'll have commitment ready
[41:46]
to go on the 15th.
[41:47]
» So, with this issue, will Maine Revenue
[41:49]
Service let us do less than a 30%
[41:52]
increase on our property values because
[41:54]
of
[41:55]
now increasing 7% instead of 3%?
[41:59]
» No.

No, it's that they adjust the 30% so

people
[42:04]
our assessments go up to 100%, so people
[42:08]
get their homestead exemptions, we get

our tree growth reimbursement, our

It doesn't have anything to do with what
[42:17]
we require as a budget to run the town.

So, no.

And actually right now, the main lister

for assessors is compiling a list of
[42:27]
towns that had to do these adjustments.

We're up to 250 right now.

They did similar adjustments.

discussed it before. There are options
[42:42]
for companies to provide the service are
[42:46]

software is not

unproblematic. So, they have different
[43:08]
issues, not the same, but different. And
[43:11]

[43:12]
Trio is encountering more than usual cuz
[43:14]
they just went to a web-based software.
[43:17]
But, like for instance, some of these
[43:20]
don't have budgetary, so we do the
[43:22]
assessment and you load it onto the
[43:23]
other system and then you come up with a
[43:25]
whole host of other problems that are
[43:27]
way worse than this.
[43:30]
» I guess I I still don't understand how
[43:31]
somebody hasn't made any improvements on
[43:33]
their property in 40 years.

We can increase their value by 30%.

» Well, the only thing I can give you for

a reference is when I started here in
[43:50]
1991, the average ranch style home, you
[43:53]
all know about 1,000 square feet,
[43:55]
five-room count, as one bathroom, as a
[43:58]
hot air furnace or electric heat at the
[43:59]
time, full foundation on an in-town lot,
[44:02]
sold for 40 to 45,000.
[44:04]
Today, they're selling for 180.
[44:07]
So, that's how they do it. It's It's
[44:10]
statistically based, and it's a
[44:12]
It's
[44:13]
market-based adjustments because the
[44:15]
market is saying it's all
[44:18]
All of the assessors in the state of
[44:19]
Maine are facing the same situation.

» And this is all because Maine revenue
[44:23]
said we need to increase 30%.

» They because we need to keep 100%
[44:28]
assessment.

Now, it's more like 3 to 6 months, you

know? So, I'm thinking that the market

is adjusting, so I'm thinking when our

reval starts, by the time it finishes

they'll be a leveling off. So it it

won't be like these that did it right
[46:08]
during the bumper height

of this market inflated markets.

I did have a state economist come and

speak at tax school. I have the report

in my office and everything I've just

you may recall, we were able to secure
[1:14:54]
um a permit from DEP to be able to
[1:14:58]
take the asbestos that as part of the
[1:15:01]
demolition uh from buildings on the mill
[1:15:04]
site and rather than shipping them off
[1:15:06]
to other other landfills and paying
[1:15:08]
those transportation and disposal costs,
[1:15:11]
we have a permit actually manage them
[1:15:14]
right on the site.
[1:15:15]
So, a couple months ago, you actually
[1:15:17]
approved a contract to prepare the site.
[1:15:20]
It's all ready to go and now the second
[1:15:22]
one is really for a company to operate
[1:15:25]
to operate that. What will happen as
[1:15:27]
buildings are coming down and we have
[1:15:29]
some coming down now, uh they'll put the
[1:15:32]
asbestos materials in containers, bring
[1:15:35]
it over to the site, and then the
[1:15:37]
operator will actually take that, put it
[1:15:39]
in the site, and cover it under the
[1:15:41]
permit requirements.

and and the cost savings is about 10 to
[1:15:47]
12 million dollars.

they have to be trained on man handling
[1:16:04]
and managing asbestos. We have our
[1:16:06]
engineering company um environmental
[1:16:08]
engineers um CDM Mahar that will
[1:16:10]
actually coordinate this because you
[1:16:12]
have buildings coming down at different
[1:16:14]
times. It's a unique contract because
[1:16:17]
we're going to be looking at demolition
[1:16:18]
of buildings probably for the next 10
[1:16:20]
years.

So, there may be a building here,
[1:16:23]
building there as we get grants and then
[1:16:25]
so, this company will then come in as as
[1:16:27]
this asbestos material is ready to be
[1:16:29]
put into the into the site. Um the LLIC
[1:16:33]
reviewed this today and is recommending
[1:16:35]
approval.
